Terms of Service & License Agreement
Effective Date: September 23, 2026 • Last updated: October 10, 2026These Terms of Service ("Terms") are an agreement between you ("Licensee", "you") and LintelDesk, an independent software developer based in Quebec, Canada ("LintelDesk", "we", "us"), regarding your purchase, download, and use of the LintelDesk desktop software application (the "Software"). By purchasing, downloading, or using the Software, you accept these Terms.
1. License Grant
Upon payment of the one-time $49 USD fee through Shoppex.io, you are granted a perpetual, non-exclusive, non-transferable license to install and use the Software for your own personal or business work.
- Multiple devices: You may install the Software on up to 3 Windows computers that you own or primarily use.
- No keys or activation: The Software does not use license keys, user accounts, or online activation. Your right to use it is granted by these Terms and by your proof of purchase.
- Your files are yours: All documents, spreadsheets, diagrams, and other files you create with the Software belong to you, and we claim no rights or royalties over them.
2. No Subscriptions & Update Policy
The Software is sold as a one-time purchase. There are no recurring monthly or annual fees.
- Your purchase includes all version 1.x maintenance, security, and feature updates at no extra cost.
- Because the Software is offline-first, you are never required to install an update to keep using the version you have.
- A future major version (2.0 and above) may be offered separately.
3. Sales Are Final
All sales are final and we do not offer refunds.
The Software is delivered as a complete offline installer. It has no license keys, no accounts, and no online activation, and it cannot be deactivated or revoked once downloaded. A refund therefore could not take the Software back, and you would keep a fully working copy. For that reason, and only for that reason, we do not process refunds.
If the Software will not install or run, does not work as described, or you were charged in error (for example, a duplicate charge), contact us at [email protected] with your order details and we will work with you to resolve it. Nothing in this section limits any right you have under the consumer protection laws that apply to you and that cannot be waived.
4. Restrictions
You may not reverse-engineer, decompile, or disassemble the Software except where applicable law expressly permits it despite this restriction. You may not resell, sublicense, or publicly redistribute the Software or its installer.
5. Warranty Disclaimer & Limitation of Liability
To the extent permitted by law, the Software is provided "as is" without warranty of any kind, express or implied. To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising from the use or inability to use the Software, and our total liability for any claim is limited to the amount you paid for the Software.
Because your files are stored only on your own computer, you are responsible for backing them up. Nothing in these Terms excludes or limits liability for intentional or gross fault, for bodily injury, or for anything else that cannot be excluded or limited under applicable law.
6. Privacy
The Software does not send usage analytics or your document content to any server. Information collected through our website and at purchase is described in our Privacy Policy. Payments are processed by Shoppex.io and Stripe, and we do not see or store your full card details.
7. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when. Changes apply to purchases made after that date and do not reduce the rights you already acquired.
8. Governing Law and Disputes
8.1 Governing law. These Terms, and any dispute or claim arising out of or relating to them or to the Software, are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to any rules on conflict of laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
8.2 Courts. Subject to section 8.3, the courts of the Province of Quebec have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party submits to their jurisdiction.
8.3 Consumers. If you are a consumer, the mandatory consumer protection laws of the place where you live, including Quebec's Consumer Protection Act if it applies to you, continue to apply to you. Nothing in these Terms removes or limits any right you have under those laws that cannot be waived, and where the law allows it you may bring a claim in the courts of your place of residence.
8.4 Informal resolution. Before starting any legal proceeding, we ask that you first contact us at [email protected] and describe the problem, so that we have a reasonable opportunity to resolve it directly.
8.5 General. If any part of these Terms is found to be invalid or unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between you and us about the Software and replace any earlier understanding on the same subject.
9. Language
The parties have expressly required that these Terms and all related documents be drawn up in English. Les parties ont expressément exigé que les présentes conditions et tous les documents connexes soient rédigés en anglais.
